INVESTMENT DISCIPLINE
The Portfolio invests in several other Prudential Series Fund Portfolios, which currently consist of domestic equity Portfolios, fixed income Portfolios, and international equity Portfolios. The domestic equity component is approximately 59% of the Portfolio, the fixed income component is approximately 18% of the Portfolio, and the international equity component is approximately 23% of the Portfolio. Foreign investments are subject to the risks of currency fluctuation and the impact of social, political, and economic change. Small and medium-size companies may have limited marketability, and may be subject to more erratic or abrupt market movements than large-cap stocks. High yield bonds, also known as "junk bonds," are subject to greater credit and market liquidity risks. All of these risks may result in greater share price volatility.

PORTFOLIO ALLOCATION

Each Asset Allocation Portfolio currently invests its assets in shares of underlying Portfolios according to certain target percentages. The target percentages for the SP Growth Asset Allocation Portfolio are set forth below. Periodically, Prudential Investments LLC ("PI") will rebalance each Asset Allocation Portfolio, to bring the Portfolio's holdings in line with the applicable target percentages. PI expects that the rebalancing will occur on a monthly basis, although the rebalancing may occur less frequently.

With respect to each of the four Asset Allocation Portfolios, PI reserves the right to alter the applicable percentage allocations and/or the underlying Portfolios in which the Asset Allocation Portfolio invests if market conditions warrant. Although we will make every effort to meet each Asset Allocation Portfolio's investment objective, we can't guarantee success.

The S&P 500 Index is an unmanaged, market value-weighted index of 500 stocks generally representative of the broad stock market.
The Growth AA Custom Blended Index is comprised of the Russell 3000 Index (64%), the Barclays Capital Aggregate Bond Index (20%), and the MSCI EAFE Index (16%).
The Lipper (VIP) Multi-Cap Core Funds Average is calculated by Lipper Analytical Services, Inc. and reflects Funds that, by portfolio practice, invest in a variety of market capitalization ranges without concentrating 75% of their equity assets in any one market capitalization range over an extended period of time. Multi-cap funds typically have between 25% and 75% of their assets invested in companies with market capitalizations (on a three-year weighted basis) above 300% of the dollar-weighted median market capitalization of the middle 1,000 securities of the S&P SuperComposite 1500 Index. Multi-cap core funds have more latitude in the companies in which they invest. These funds typically have an average price-to-earnings ratio, price-to-book ratio, and three-year sales-per-share growth value, compared to the S&P SuperComposite 1500 Index. These returns are net of investment fees and fund expenses, but not product charges. Investors cannot invest directly in a market index or average.
