Total return consistent with a conservatively managed diversified portfolio by investing in money market instruments, bonds and common stock of both established and smaller companies. There can be no assurance that the investment objective will be achieved.

INVESTMENT DISCIPLINE
This Portfolio generally consists of a conservatively managed mix of money market instruments, notes and bonds with maturities of 2 to 10 years and common stocks of established companies. The allocation is adjusted periodically to anticipate market changes. The Portfolio's asset mix is appropriate for an investor desiring relatively lower risk from a diversified portfolio in order to receive a favorable overall return. The Portfolio may invest in foreign securities. Foreign investments are subject to the risks of currency fluctuation and the impact of social, political, and economic change, which may result in greater share price volatility.

PORTFOLIO MANAGEMENT

This Portfolio is managed by a team of portfolio managers. Margaret Stumpp, Ph.D., Senior Managing Director of Prudential Investment Management, has been the lead portfolio manager of the Portfolio since 1994 and is responsible for the overall asset allocation decisions.

The Fixed Income segments are managed by Prudential Investment Management- Fixed Income. PIM-Fixed Income uses a bottom-up approach, which focuses on individual securities, while staying within the guidelines of the Investment Policy Committee and Portfolio’s investment restrictions and policies. In addition,the Credit Research team of analysts supports the sector teams using bottom-up fundamentals,as well as economic and industry trends. Other sector teams may contribute to securities selection when appropriate.

The equity portion of the Portfolio is managed by Margaret Stumpp, John Moschberger, and Michael Lenarcic. Mr. Lenarcic is a Managing Director within Prudential's Quantitative Management team joining the team in 1985, Mr. John Moschberger, CFA, Vice President of Prudential Investments, manages the portions of each Portfolio designed to duplicate the performance of the S&P 500. Mr. Moschberger joined Prudential in 1980 and has been a portfolio manager since 1986.

The Lipper (VIP) Mixed Asset Allocation Growth Funds Average is calculated by Lipper Analytical Services, Inc., and reflect Funds that, by portfolio practice, maintain a mix of between 60%-80% equity securities, with the remainder invested in bonds, cash, and cash equivalents. These returns are net of investment fees and fund expenses, but not product charges. Investors cannot invest directly in a market index or average.
